| 1 | | AN ACT concerning business. |
| 2 | | Be it enacted by the People of the State of Illinois, |
| 3 | | represented in the General Assembly: |
| 4 | | Section 1. Findings and purpose. The General Assembly |
| 5 | | finds that women, minorities, persons with disabilities, and |
| 6 | | members of the LGBTQ+ community are historically |
| 7 | | underrepresented in business organization and nonprofit |
| 8 | | organization leadership, both nationally and within the State |
| 9 | | of Illinois. Increasing diversity and inclusion at the highest |
| 10 | | levels of business organization and nonprofit organization |
| 11 | | leadership is in the best interests of the State and its |
| 12 | | growing economy. Whether through legislation, public policy, |
| 13 | | or public outreach, opportunities exist for expanding |
| 14 | | diversity and inclusion to support more women, minorities, |
| 15 | | persons with disabilities, and members of the LGBTQ+ community |
| 16 | | in business organization and nonprofit organization |
| 17 | | leadership. |
| 18 | | Section 5. The Business Corporation Act of 1983 is amended |
| 19 | | by adding Section 8.13 as follows: |

| 21 | | Sec. 8.13. Diversity and Inclusion in Business |
| 22 | | Organization and Nonprofit Organization Leadership Task Force. |

| 1 | | (a) The Diversity and Inclusion in Business Organization |
| 2 | | and Nonprofit Organization Leadership Task Force is created |
| 3 | | within the Office of the Secretary of State. The purpose of the |
| 4 | | Task Force is to identify ways to increase diversity in |
| 5 | | business organization and nonprofit organization leadership |
| 6 | | and to make recommendations to the Governor and General |
| 7 | | Assembly to achieve that goal. |
| 8 | | (b) The Task Force shall consist of the following members: |
| 9 | | (1) the Secretary of State or the Secretary's |
| 10 | | designee, who shall serve as the chairperson of the Task |
| 11 | | Force; |
| 12 | | (2) one member of the House of Representatives, |
| 13 | | appointed by the Speaker of the House of Representatives; |
| 14 | | (3) one member of the House of Representatives, |
| 15 | | appointed by the Minority Leader of the House of |
| 16 | | Representatives; |
| 17 | | (4) one member of the Senate, appointed by the |
| 18 | | President of the Senate; |
| 19 | | (5) one member of the Senate, appointed by the |
| 20 | | Minority Leader of the Senate; and |
| 21 | | (6) five members representing nonprofit organizations |
| 22 | | led by women, people with disabilities, minorities, or |
| 23 | | LGBTQ+ people or women-owned, person with |
| 24 | | disability-owned, minority-owned, or LGBTQ+-owned |
| 25 | | business organizations or State vendors, appointed by the |
| 26 | | Secretary of State. |

| 1 | | (c) The Task Force shall survey the underrepresentation of |
| 2 | | minorities, women, persons with disabilities, and members of |
| 3 | | the LGBTQ+ community in business organization and nonprofit |
| 4 | | organization leadership. The Task Force shall review the |
| 5 | | required business or nonprofit filings that require disclosure |
| 6 | | of a business organization's or nonprofit organization's |
| 7 | | demographic composition, the Business Enterprise Program, the |
| 8 | | Business Corporation Act of 1983, the Limited Liability |
| 9 | | Company Act, the General Not for Profit Corporation Act of |
| 10 | | 1986, other relevant business organization and nonprofit |
| 11 | | organization statutes, and the Illinois Procurement Code in an |
| 12 | | effort to identify areas for improvement that will result in |
| 13 | | increasing diversity and inclusion for minorities, women, |
| 14 | | persons with disabilities, and members of the LGBTQ+ community |
| 15 | | in business organization and nonprofit organization |
| 16 | | leadership. |
| 17 | | (d) The Task Force may request testimony from any person |
| 18 | | or entity that may assist in increasing the understanding of |
| 19 | | issues or providing solution-based ideologies that will |
| 20 | | improve representation and opportunities for minorities, |
| 21 | | women, persons with disabilities, and members of the LGBTQ+ |
| 22 | | community within business organization and nonprofit |
| 23 | | organization leadership and State procurement. |
| 24 | | (e) Members of the Task Force shall serve without |
| 25 | | compensation for the duration of the Task Force, but they may |
| 26 | | be reimbursed for reasonable travel expenses in compliance |

| 1 | | with the Secretary of State's travel rules required for |
| 2 | | attendance at meetings. |
| 3 | | (f) The Office of the Secretary of State shall provide |
| 4 | | administrative and other support to the Task Force. |
| 5 | | (g) As soon as practicable, but no later than October 1, |
| 6 | | 2024, all members of the Task Force shall be appointed. The |
| 7 | | Task Force shall meet quarterly in calendar year 2025. |
| 8 | | (h) The Task Force shall prepare a report that summarizes |
| 9 | | its work and makes recommendations resulting from its |
| 10 | | meetings. The Task Force shall submit the report of its |
| 11 | | findings and recommendations to the Governor and the General |
| 12 | | Assembly by January 1, 2026. |
| 13 | | (i) This Section is repealed, and the Task Force is |
| 14 | | dissolved, on January 1, 2027. |
| 15 | | Section 99. Effective date. This Act takes effect upon |
| 16 | | becoming law. |
